These Terms of Service ("Terms") govern your use of the OneEKO Technologies website (oneeko.ai) and any software development services provided by OneEko Technologies Inc. ("OneEKO," "we," "us," or "our").

Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Services

OneEKO Technologies provides custom software development services including but not limited to:

Website development
Web application development
Mobile application development
AI/ML integration and automation
Software consulting and audits

Service Agreements

Specific project terms, deliverables, timelines, and pricing are defined in separate project proposals or statements of work ("SOW") which, when signed, become part of these Terms.

Client Responsibilities

When engaging our services, you agree to:

Provide accurate and complete project requirements
Respond to requests for information in a timely manner
Provide necessary access to systems, accounts, and resources as needed
Review and provide feedback on deliverables within agreed timeframes
Make payments according to the agreed schedule

Intellectual Property

Your Content

You retain all rights to content, data, and materials you provide to us for project work.

Our Work Product

Upon full payment, you own all custom code, designs, and deliverables created specifically for your project. This excludes:

Pre-existing tools, libraries, and frameworks we use
Open-source components (governed by their respective licenses)
Our general methodologies, processes, and know-how

License Grant

We grant you a perpetual, non-exclusive license to use any pre-existing components incorporated into your deliverables.

Payment Terms

Deposits: Projects typically require a 50% deposit to begin work
Milestones: Remaining payments are due at agreed milestones or upon delivery
Late Payments: Payments overdue by 15 days may incur interest and work may be paused
Refunds: Deposits are non-refundable once work has begun, except as required by law

Warranties and Disclaimers

Limited Warranty

We warrant that deliverables will substantially conform to agreed specifications for 30-90 days after delivery (as specified in your SOW). Our sole obligation is to correct non-conforming work.

Disclaimer

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that software will be error-free, uninterrupted, or meet all your business objectives.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OneEKO shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability for any claim shall not exceed the amounts paid by you to us in the 12 months preceding the claim
We are not liable for delays or failures caused by circumstances beyond our reasonable control

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to:

Business strategies and plans
Technical specifications and source code
Financial information
Customer data

NDAs are available upon request for additional protection.

Termination

By You

You may terminate a project with 14 days written notice. You remain responsible for payment of work completed and any non-cancellable commitments.

By Us

We may terminate if you breach these Terms, fail to make payments, or if continuing would be unlawful. We will provide reasonable notice except in cases of material breach.

Effect of Termination

Upon termination, you receive deliverables completed up to that point (subject to payment). Provisions regarding IP, confidentiality, and limitation of liability survive termination.

Acceptable Use

When using our website, you agree not to:

Attempt to gain unauthorized access to our systems
Interfere with or disrupt site operations
Use the site for any unlawful purpose
Scrape, copy, or redistribute content without permission

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Delaware. You consent to the jurisdiction of such courts.

Changes to Terms

We may modify these Terms at any time. Material changes will be posted with an updated effective date. Continued use of our services after changes constitutes acceptance.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms, along with any signed SOW or project agreement, constitute the entire agreement between you and OneEKO regarding the subject matter herein.
